The terms and conditions governing your use of the Truegility website and services.

By accessing or using the Truegility website (truegility.com), submitting any form, downloading any resource, or engaging Truegility for services, you agree to be bound by these Terms of Service ("Terms"). 2. Description of Services

Truegility, Inc. DBA Truegility provides:

  • Data strategy, analytics, and AI consulting services
  • Power BI development, master data management, and automation solutions
  • The Clarity Platform and other software applications
  • Custom visualizations for Power BI and other platforms
  • Free resources including assessments, whitepapers, and tools

Specific consulting engagements are governed by individual Statements of Work (SOWs) or Master Services Agreements (MSAs), which supplement these Terms.

3. User Responsibilities

By using our website and services, you agree to:

  • Provide accurate and complete information when submitting forms or engaging our services
  • Use our website and services only for lawful purposes
  • Not attempt to gain unauthorized access to any part of our website, systems, or services
  • Not use automated tools (bots, scrapers, crawlers) to access or collect data from our website without prior written consent
  • Not transmit any viruses, malware, or other harmful code
  • Not interfere with the proper functioning of the website
  • Comply with all applicable laws and regulations

All content on the Truegility website, including but not limited to text, graphics, logos, images, videos, assessments, whitepapers, software, and design elements, is the property of Truegility, Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Truegility name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Truegility, Inc. You may not use such marks without our prior written permission.

You may view, download, and print content from our website for your personal, non-commercial use, provided you do not modify or delete any copyright, trademark, or other proprietary notices.

5. Free Resources and Assessments

Truegility provides free assessments, whitepapers, and tools for informational purposes only. These resources do not constitute professional advice and should not be relied upon as a substitute for consultation with qualified professionals. Results from assessments are indicative only and should be validated within the context of your specific business environment.

Free resources are licensed for personal and internal business use. Redistribution, republication, or commercial use of free resources requires prior written consent from Truegility.

6. Contact Forms and Communications

When you submit information through our contact forms, assessment gates, or newsletter subscriptions, you consent to Truegility using this information to respond to your inquiry and, where you have opted in, to send you communications about our services. You may opt out of marketing communications at any time by contacting us.

All information submitted through our forms is handled in accordance with our Privacy Policy.

Our website may contain links to third-party websites, platforms, or services (e.g., Microsoft AppSource, LinkedIn). These links are provided for convenience only. To the fullest extent permitted by law, Truegility disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Truegility, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the website or services
  • Any conduct or content of any third party on the website
  • Any content obtained from the website
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claim arising out of or relating to these Terms or the website shall not exceed the amount you paid to Truegility in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Truegility and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the website.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in King County, Washington for the resolution of any disputes arising out of these Terms.

If you are accessing the website from outside the United States, you are responsible for compliance with local laws.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.

13. Waiver

The failure of Truegility to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver of any provision of these Terms will only be effective if in writing and signed by Truegility.

14. Entire Agreement

These Terms, together with our Privacy Policy and Licensing Terms, constitute the entire agreement between you and Truegility regarding your use of the website. Any separate Statement of Work (SOW) or Master Services Agreement (MSA) will supplement these Terms, and in the event of a conflict, the SOW or MSA will prevail to the extent of that conflict.

15. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Truegility. Truegility may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section shall be null and void.

16. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet or telecommunications failures, cyberattacks, or government-imposed restrictions.

17. Dispute Resolution and Arbitration

The parties agree to first attempt to resolve any dispute through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in King County, Washington.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Truegility.

18. Copyright Infringement (DMCA)

If you believe that any content on the Truegility website infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing the following information in writing to [email protected]:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and its location on the website
  • Your contact information (address, telephone number, and email address)
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner
  • A statement, under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on the owner's behalf

We reserve the right to modify these Terms at any time. Changes will be effective when posted on this page with an updated "Last Updated" date.
